Terms & Conditions – Shippers

Key Points

  • Application: These terms apply to Zendeq’s website(s), app(s), and platform services worldwide.
  • Free to Use: The Zendeq platform is free for Shippers.
  • Platform Facilitator: Zendeq connects you with Logistics Service Providers. Zendeq does not provide logistics services and is not a party to agreements between you and service providers.
  • Your Responsibility: You are responsible for selecting providers and negotiating your own agreements with them.

About Us

Zendeq is a platform connecting Shippers with Logistics Service Providers offering warehousing, fulfillment, and 3PL solutions. Through Zendeq, Shippers can:

  • Post requirements and receive quotes from qualified logistics providers matched to your needs
  • Discover new partners using our search technology to find providers whose capabilities match your requirements
  • Manage logistics relationships by communicating with providers and exchanging documents through the platform

Article 1. Definitions

“Terms” means these Terms & Conditions, also referred to as “Agreement”.

“Account” means the company or legal entity under which a User is registered.

“User” means anyone representing an Account who is registered with personal login credentials.

“Key User” means a User with administrative privileges.

“Shipper” means a business seeking warehousing, fulfillment, 3PL, or logistics services.

“Logistics Service Provider” or “LSP” means a business providing warehousing, fulfillment, 3PL, or related logistics services.

“User Contract” means any agreement formed between a Shipper and a Logistics Service Provider.

“Zendeq Services” means all use of the Platform, Website(s), and Services.

“Content” means any material, information, and data provided by the User through the Platform.

“Logistics Services” means any services related to warehousing, fulfillment, 3PL, transportation, or supply chain management.

“Confidential Information” means any non-public business, technical, or financial information disclosed by one party to another.

Article 2. Scope and Agreement

2.1. These Terms govern your use of the Zendeq Platform and all related services.

2.2. By using Zendeq Services, you agree to be bound by these Terms, creating a legally binding agreement between you and Zendeq.

2.3. If agreeing on behalf of an entity, you represent that you have authority to bind that entity.

2.4. You must be at least 18 years old to use Zendeq Services. Legal entities must be duly incorporated and validly registered.

2.5. Zendeq may modify these Terms with reasonable notice. Continued use after changes take effect indicates acceptance.

Article 3. Your Account and Content

3.1. You retain ownership of Content you publish to the Platform. You grant Zendeq a non-exclusive, worldwide license to use, copy, modify, and distribute your Content for platform operation purposes.

3.2. You can end this license by deleting Content or closing your account.

3.3. Zendeq may make format changes to your Content (such as layout or file type) but will not modify its meaning.

3.4. Personal data is processed in accordance with our Privacy Policy at www.zendeq.com/legal.

Article 4. Platform Use and User Contracts

4.1 Platform Role

Zendeq provides a platform for connecting Shippers with Logistics Service Providers. Zendeq does not provide logistics services directly and is not a party to any User Contracts.

4.2 User Contracts

When you enter into an agreement with a Logistics Service Provider:

  • The User Contract is solely between you and the provider
  • Zendeq has no role in negotiating, concluding, or enforcing User Contracts
  • Zendeq does not guarantee the performance, quality, or reliability of any provider

4.3 Your Responsibilities

You are solely responsible for:

  • Evaluating and selecting Logistics Service Providers
  • Negotiating terms, pricing, and service levels
  • Entering into and managing User Contracts
  • Paying providers directly for their services
  • Paying applicable taxes and fees
  • Conducting due diligence on providers before entering agreements

4.4 No Endorsement

Zendeq does not endorse, certify, or guarantee any Logistics Service Provider, their services, pricing, or capabilities. Reviews and ratings on the platform are provided by other Users and do not represent Zendeq’s views.

Article 5. Using the Platform

5.1. You may post your logistics requirements and receive quotes from Logistics Service Providers through the Platform.

5.2. By accepting a quote, you enter into a legally binding User Contract with the provider. You accept any terms, conditions, and limitations imposed by the provider.

5.3. Providers will invoice you directly for their services. You may upload invoices to the Platform for record-keeping.

5.4. Zendeq does not serve as a payment collection agent and assumes no liability for actions or omissions of any User.

Article 6. User Obligations

6.1 You agree to:

  • Comply with all applicable laws, including privacy, intellectual property, and tax requirements
  • Provide accurate information and keep it updated
  • Use the Services professionally
  • Be solely responsible for activity on your Account

6.2 You agree not to:

  • Provide false, misleading, or inaccurate information
  • Use automated tools to scrape or copy data from the Platform
  • Override security features or bypass access controls
  • Disclose confidential information
  • Violate intellectual property rights
  • Post harmful code or content
  • Reverse engineer the Platform
  • Resell or monetize the Services
  • Impersonate others or misrepresent your organization
  • Solicit Users to competing platforms

Article 7. Confidentiality and Privacy

7.1. You agree not to disclose other Users’ Confidential Information or Zendeq’s business and technical information.

7.2. You shall not sell, rent, or distribute another User’s information or use it for marketing purposes without consent.

7.3. You agree to comply with applicable data protection laws when processing personal data through the Platform.

Article 8. No Endorsement or Review

8.1. Zendeq does not review or endorse provider fees, quotes, delivery terms, or the accuracy of any Content on the Platform.

8.2. You are solely responsible for Content you post and agree to indemnify Zendeq against claims arising from your Content.

8.3. You represent that your Content:

  • Is not fraudulent, misleading, or inaccurate
  • Does not infringe third-party rights
  • Does not violate applicable laws
  • Is not defamatory, threatening, or harassing

8.4. Zendeq may remove Content or disable Accounts at its discretion.

Article 9. Intellectual Property

9.1. The Zendeq Services are owned by Zendeq or its licensors. You are granted access to use the Services, not a license to the underlying software.

9.2. You agree not to copy, lease, sell, or create derivative works based on the Zendeq Services.

9.3. Feedback or suggestions you provide may be used by Zendeq without compensation or attribution.

Article 10. Content and Third-Party Services

10.1. You may encounter content that is inaccurate, incomplete, or misleading. Zendeq does not review User content and is not responsible for it.

10.2. The Platform may link to third-party services. Zendeq does not control or endorse third-party content and is not liable for damages arising from third-party services.

Article 11. Platform Access and Availability

11.1. You are responsible for providing equipment necessary to access the Platform.

11.2. Your Account is accessed via username and password. You may not share credentials or allow others to access your Account.

11.3. Zendeq aims for 99.5% System Availability but may make the Platform unavailable for maintenance or other reasons. Zendeq is not liable for interruptions.

Article 13. Warranty Disclaimer

13.1. Zendeq provides the Platform “as is” and “as available” without warranty of any kind.

13.2. Zendeq disclaims all warranties including:

  • Merchantability and fitness for a particular purpose
  • Uninterrupted or error-free operation
  • Quality, identity, or reliability of any User
  • Accuracy of Content posted by Users

13.3. You are solely responsible for your interactions with Logistics Service Providers.

Article 14. Liability and Indemnification

14.1. Zendeq shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from use of the Services.

14.2. Zendeq is not liable for:

  • Actions or omissions of Logistics Service Providers
  • Quality or performance of Logistics Services
  • User Contracts or transactions between Users
  • Disputes between Users

14.3. You agree to indemnify Zendeq against claims arising from:

  • Your use of the Services
  • Violation of these Terms
  • Violation of third-party rights
  • Your Content
  • Your interactions with other Users

Article 15. Term and Termination

15.1. This Agreement remains in effect while you use the Platform.

15.2. Either party may terminate at any time by closing the Account or providing written notice.

15.3. Upon termination, you lose access to the Platform. Confidentiality and indemnification obligations survive termination.

Article 16. Force Majeure

Neither party is liable for failure to perform due to circumstances beyond reasonable control, including natural disasters, war, pandemics, or government actions.

Article 17. Governing Law and Disputes

17.1. This Agreement is governed by the laws of the Netherlands.

17.2. Disputes shall first be addressed through mutual negotiation. If unresolved, disputes shall be submitted to the competent Dutch courts.

17.3. This does not affect statutory consumer rights you may be entitled to.

Article 18. Miscellaneous

Entire Agreement: These Terms constitute the entire agreement and supersede prior communications.

Language: The original language is English. In case of conflict with translations, the English version prevails.

Severability: Invalid provisions shall be limited or eliminated while the remainder stays in effect.

Waiver: Failure to enforce a provision does not constitute waiver.

Assignment: You may not assign this Agreement without Zendeq’s consent. Zendeq may assign freely.

Notices: Notices must be in writing via email.

Relationship: Nothing in this Agreement creates a partnership, joint venture, or agency relationship.
